  • Equal access. Any person meeting the established criteria is entitled to apply for a contract. Refusal is possible only on the grounds provided for by this Policy or by law.
  • Uniformity of terms. Commercial terms are formed according to a single methodology. Differences in terms are permitted only where there are objective differences in the scope of the counterparty's obligations.
  • Justification. Any deviation from standard terms is subject to documented justification and approval by an authorised officer of the Company.
  • Priority of technical suitability. The Company does not offer a configuration that does not meet the customer's stated task, even if such a supply would be commercially more profitable.
  • Good faith. The Company does not take part in price fixing with competitors, market allocation or other actions restricting competition.

5. Due diligence

5.1. Before concluding a contract, the Company carries out a check on the potential counterparty, including:

  • confirmation of legal capacity and of the signatory's authority;
  • verification of information in publicly available state registers;
  • assessment of business reputation and of the absence of indications of bad faith;
  • a check for indications of a conflict of interest with employees of the Company;

5.2. The Company is entitled to refuse to conclude a contract where inaccurate information, indications of sham activity, unsettled debt owed to the Company or non-compliance with anti-corruption legislation is identified. The refusal is communicated to the counterparty with a statement of the grounds.

6. Forming a commercial proposal

6.1. A commercial proposal is prepared on the basis of the technical specification or the description of the task provided by the customer.

6.2. The price is determined on the basis of the equipment configuration, the scope of commissioning work, the software included and the selected level of service support.

6.3. The Company is entitled to apply discounts that are uniform for all counterparties, granted depending on the volume of supply, the completeness of the order and the terms of payment. The grounds for granting discounts are applied equally to all counterparties in comparable circumstances.

6.4. The validity period of a commercial proposal is stated in the proposal itself. Upon expiry of that period the terms are subject to review.

6.5. The Company does not set mandatory resale prices for Partners.

7. Supply and commissioning

7.1. The specific terms of supply are determined by the contract and include the manufacturing lead time, the acceptance procedure, the scope of commissioning work and the extent of training for the customer's personnel.

7.2. Before the equipment is shipped, the Company agrees the requirements for the installation site with the customer's engineering service, including the power supply scheme, the ventilation regime and the arrangements for backup power.

7.4. The Company hands over to the customer the operating documentation, together with copies of the registration documents for the Products that the customer requires for its internal procedures and reporting.

8. Warranty and service support

8.1. The warranty period and warranty terms are established by the contract and by the operating documentation.

8.2. Warranty obligations remain in force provided that the equipment is operated in accordance with the operating documentation and that scheduled maintenance is performed by authorised specialists.

8.3. Intervention in the design of the equipment by persons not authorised by the Company, and the use of non-original components, constitute grounds for termination of warranty obligations in respect of the units concerned.

8.4. Post-warranty servicing is carried out under a separate contract. The Company ensures the availability of spare parts for the period established by the operating documentation.
